EVERYBOOK™ Terms of Service
ATTENTION, NOTICE TO USER: THIS IS AN AGREEMENT GOVERNING YOUR RELATIONSHIP WITH EVERYBOOK, AND USE OF THE SERVICES, AS DEFINED BELOW, PROVIDED TO YOU BY EVERYBOOK. YOU MAY USE THE SERVICES ONLY ON THE CONDITION THAT YOU REVIEW AND ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN, INCLUDING PRIVACY POLICY. PLEASE READ THESE TERMS CAREFULLY BEFORE USING THESE SERVICES. USING THESE SERVICES INDICATES THAT YOU ACCEPT THESE TERMS AND YOU ACKNOWLEDGE THAT YOUR PERSONAL DATA IS COLLECTED AND PROCESSED FOR THE PURPOSES PROVIDED IN THIS AGREEMENT. IF YOU DO NOT ACCEPT THESE TERMS (“TERMS OF SERVICE”), OR YOU HAVE NOT REACHED THE AGE OF 18, DO NOT USE THESE SERVICES.

Acceptance of Terms of Service

These Terms of Service Agreement is a legal agreement between You, an individual (“You” or “User”), and EVERYBOOK LTD, Waters Meet, Willow Avenue, New Denham, Uxbridge, UB9 4AF, UK, Company No. 10828804, and its affiliates (collectively, the “Everybook”), regarding the Services, as defined below. Everybook holds the Website https://everybook.eu including all Everybook’s domains included within this Internet website (“Website”), and all information, graphics, documents, text, products, services and all other elements of the Website and all products offered on this Website and Services operated through the Website and related plug-ins, add-ons and applications (e.g. Everybook Mobile Application) (the “Services”), available for You subject to the terms and conditions set forth in this Agreement, including Privacy Policy, being an integral part thereof (the “Agreement” or “Terms of Service”). By using the Services, You confirm that you are above the age of 18, agree to be bound by the following Terms of Service and all terms and conditions contained and/or referenced herein or any additional terms and conditions set forth on the Website, and you acknowledge that we will use your personal information in accordance with the Privacy Policy, as may be required to provide the Services under the Agreement,. If You do NOT agree to all these Terms of Service, You should NOT use the Services. If You do NOT agree to any additional specific terms which apply to particular Everybook’s Content (as defined below) or to particular transactions concluded through the Website, then You should NOT use the part of the Website and/or Services which contains such Everybook’s Content or through which such transactions may be concluded and You should NOT use such Everybook’s Content or conclude such transactions. Also, when You use any current or future Everybook’s Services or visit Everybook’s Websites or obtain any products or services, whether free of charge or for payment, of Everybook or any business affiliated with Everybook, whether or not included in the Website, You will be subject to the guidelines and conditions applicable to such services or business.

Basically,
If you are using Everybook you agree to accept this Agreement, you acknowledge the content of the Privacy Policy, and authorize us to use your personal data as required to provide the Services under the Agreement.

These Terms of Service, including Privacy Policy, may be amended by Everybook at any time. Such amended Terms of Service shall be effective according with the notice of amendment. Also, specific terms and conditions may apply to specific content, products, materials, services or information contained on or available through this Website (the “Everybook’s Content”) or transactions concluded through this Website. Such specific terms may be in addition to these Terms of Service or, where inconsistent with these Terms of Service, only to the extent the content or intent of such specific terms is inconsistent with these Terms of Service, such specific terms will supersede these Terms of Service. Everybook reserves the right to make changes or updates with respect to or in the Content of the Website or the format thereof at any time without notice. Everybook reserves the right to terminate or restrict access to the Website or any portion thereof for any reason whatsoever at its sole discretion.

We are entitled to amend this Agreement and the Privacy Policy. You will be notified on such changes.

Description of Services

Everybook is a rental service where you can download, store, read electronic books and listen to audiobooks (the “Books”). All Books in Everybook are protected by copyright law and cannot be downloaded and distributed outside the Service.

Basically,
Books available on Everybook may be used only via Everybook.

Types of access

Access. You can get limited access to a chosen Book for a period of fourteen (14) days (the “Access”) for a Rental Price. After expiration of this term, the Book shall no longer be available to You, unless You choose to purchase the Book ‘a la carte’ for an Additional Fee.

‘A la carte’ purchase. You can get unlimited access to the chosen Book for the Everybook List Price. In case of a withdrawal of purchased Book by a Licensor or in case of termination of the agreement between Everybook and the Licensor, You will have the right to access the purchased Book during the entire period of the Service’s existence and/or termination of the aforementioned Agreement.

Basically,
You can get a limited and unlimited access to a Book.

Access to the Services may be granted only to physical entities. Please note that one (1) account shall be used only by one (1) physical entity. Thus, your account on the Everybook Service is a personal not multiuser, and it’s prohibited by these Terms of Service to give access to your account to other persons. Your use of the Website and/or Services, including, but not limited to, storing cashed content, is limited to three (3) devices. You may not transfer copies of cached content to any other device via any means.

Should You attempt to break these Terms of Service, Everybook has the right to block or delete your personal account without any explanation.

Basically,
Everybook Service is only for physical entities. Your account shall not be used by other persons and no more than on three devices.

Payments and Refund Policy

All rights and privileges provided herein to You under these Terms of Service are subject to your compliance with all of the terms and conditions and payments of applicable fee, if any, to Everybook, provided however, that Everybook expressly reserves the right to provide the Services free of charge during the Term, and further provided, that Everybook, solely at its own discretion may elect to provide the same or similar Services for a fee. Everybook will not provide refunds of the fees you have paid for the Service.

Basically,
The service is provided for free or for a fee. We may change it any time. Service fee is not refunded.

Bookcoin

A bookcoin is an internal payment unit of the Service only by which Users may pay for the Books.

Everybook reserves the right to unilaterally change the price of the bookcoin at any time. Such price changes shall be effective upon posting on the Service.

Basically,
You can get an Access and purchase a Book only with bookcoin – an internal payment unit of the Service.

To purchase bookcoins you may use different payment methods, including banking cards provided by third parties. The payment data is processed by you directly to such third parties on terms and conditions, specified by such parties, and is not stored on Everybook servers. Payment errors may occur due to actions of such third parties and Everybook is not responsible for such errors or additional fees collected by such third parties. Upon successful payment, you will receive an e-mail confirmation.

Basically,
Payments are processed by banks and other payment agents. We are not directly responsible for storing your payment details and payment transactions.

Purchased bookcoins will be displayed on your personal account on the Service and you can check its balance at any time.

Basically,
You can check your bookcoin balance on your personal account at any time.

Warranties and Disclaimers

Some jurisdictions do not allow the exclusion of implied warranties or limitations, so the above limitations may not apply to You.

Laws of your country may differ from these Terms.

ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EVERYBOOK HEREBY EXPRESSLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AS TO THE SERVICES OR THE CONTENT. EVERYBOOK DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS AS TO THE SECURITY OF THIS WEBSITE OR SERVICES. YOU ACKNOWLEDGE THAT ANY INFORMATION SENT MAY BE INTERCEPTED IN TRANSMISSION OR OTHERWISE. EVERYBOOK DOES NOT WARRANT THAT THE WEBSITE OR THE SERVERS OR ELECTRONIC COMMUNICATIONS SENT BY EVERYBOOK ARE FREE FROM VIRUSES OR ANY OTHER HARMFUL ELEMENTS. Except as agreed by Everybook in writing, contractors, agents, dealers or distributors of Everybook or any other third party shall not have a right to modify this limited warranty, nor to make any additional warranties.

We make no warranties regarding Everybook. It’s your choice.

THE USE OF THE SERVICES OR THE DOWNLOADING OR OTHER USE OF THE WEBSITE IS DONE AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, YOUR SITE, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM SUCH ACTIVITIES. EVERYBOOK ASSUMES NO LIABILITY FOR ANY COMPUTER VIRUS OR OTHER SIMILAR SOFTWARE CODE THAT IS DOWNLOADED TO YOUR COMPUTER FROM THE WEBSITE OR IN CONNECTION WITH SERVICES. NO ADVICE OR INFORMATION WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM EVERYBOOK OR FROM THE WEBSITE OR SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF SERVICE.

Internet is dangerous and we hold no liability for your damages.

The Website may contain references to specific Everybook products and Services that may not be (readily) available in a particular country. Any such reference does not imply or warrant that any such products or services shall be available at any time in any particular country. Access to Everybook and territorial restrictions depend on the country where you activated your subscription. If your residence has changed to another country, please appeal to our technical support.

Everybook is not available in a few countries.

You understand and agree that by using the Website and Services and products contained therein, You may be exposed to Everybook’s Content that You may find offensive, indecent or objectionable and that, in this respect, You use the Website, services and products at Your own risk.

Books may be explicit and obscene.

IN NO EVENT SHALL EVERYBOOK OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL OR INCIDENTAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS, CONTRACT, REVENUE, DATA, INFORMATION OR BUSINESS INTERRUPTION), UNDER ANY THEORY OF LIABILITY, RESULTING FROM, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE THIS WEBSITE OR THE EVERYBOOK’S CONTENT, PRODUCTS, SERVICES, THE STATEMENTS OR ACTIONS OF ANY THIRD PARTY ON OR THROUGH THIS WEBSITE, ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSION OR DATA, ANY INFORMATION THAT IS SENT OR RECEIVED, OR NOT SENT OR RECEIVED, ANY FAILURE TO STORE DATA, ANY LOSS OF DATA, LOSS OR DAMAGE TO FILES, LOSS OR DAMAGE TO THE EVERYBOOK’S CONTENT, ANY SERVICES AVAILABLE THROUGH THE WEBSITE THAT ARE DELAYED OR INTERRUPTED, EVEN IF EVERYBOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ANY ACTION BROUGHT AGAINST EVERYBOOK PERTAINING TO OR IN CONNECTION WITH THIS WEBSITE MUST BE COMMENCED AND NOTIFIED TO EVERYBOOK IN WRITING WITHIN SIX (6) MONTHS AFTER THE DATE THE CAUSE FOR ACTION AROSE.

We are not liable for your Everybook experience.

Your Warranties

YOU HEREBY WARRANT THAT: (i) ALL INFORMATION PROVIDED BY YOU TO EVERYBOOK IN CONNECTION WITH THE SERVICE IS TRUE AND ACCURATE; (ii) YOU HAVE FULL POWER AND AUTHORITY TO ENTER INTO THE TERMS OF SERVICE; (iii) YOU WILL SEEK ALL NECESSARY GOVERNMENTAL APPROVALS REQUIRED TO EFFECTUATE THE TERMS OF SERVICE; (iv) YOU SHALL PERFORM ALL OF YOUR OBLIGATIONS UNDER THE TERMS OF SERVICE IN ACCORDANCE WITH APPLICABLE LAWS; (v) YOU ARE OVER 18.

Please do not breach the Terms of Service.

Term

The term of these Terms of Service (“Term”) shall begin when You start using the Services and shall continue in perpetuity unless otherwise terminated by Everybook by written notice. Everybook expressly reserves the right to change, suspend or discontinue all the Service or portion thereof, at any time, and may terminate Your use of the Service at any time. Without prejudice to any other rights, these Terms of Service will terminate automatically if You fail to comply with any of the limitations or other requirements described herein. Upon any termination or expiration of these Terms of Service, You must immediately cease using the Services including, without limitation, any use of Everybook’s trademarks, trade names, copyrights and other intellectual property. UPON TERMINATION OF THIS AGREEMENT YOU WILL NO LONGER BE AUTHORIZED TO USE THE SERVICES IN ANY WAY.

This agreement may expire.

Links to Other Sites and Third Party Materials

In order to use the Services You may need to obtain and/or use certain third-party products, services and/or materials (“Third Party Materials”). Third Party Materials are (i) not licensed hereunder; (ii) not under Everybook’s control or license; and (iii) subject to the applicable licenses and respective terms and conditions of such third parties which You need to enter into prior or subsequent to the installation and/or use of the Third Party Materials and prior to the effective use of the Services. Notwithstanding any provision to the contrary herein, nothing in these Terms of Service shall be construed as to grant You any rights or licenses with regard to such Third Party Materials or to entitle You to use such Third Party Materials.

Basically,
Some applications may be required to make Everybook run on your device.

Intellectual Property

Copyright, trademark and all other proprietary rights in the Services and/or Everybook’s Content (including but not limited to software, services, audio, video and text) rest with Everybook and/or its licensors. Unless otherwise specifically provided herein or authorized by Everybook in writing, all rights in the Services and/or Everybook’s Content not expressly granted herein are reserved. You agree not to copy, republish, frame, make available for download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Services and/or Everybook’s Content. All copyright and other proprietary notices shall be retained on all reproductions.

Basically,
You are not given any unmentioned rights for our content.

Everybook hereby disclaims any rights to trademarks, service marks, trade names, logos, copyright, patents, domain names or other intellectual property interests of third parties. All intellectual property interests of third parties referenced herein, including, without limitation, Third Party Material are the properties of their respective owners. Everybook disclaims any proprietary interests in the intellectual property rights other than their own.

We don’t claim any rights for third-party content either.

Everybook shall conspicuously display graphics (i.e. Everybook’s logo) that indicate that the Service is provided by Everybook under the guidelines that may be communicated to You from time to time by Everybook. Such attribution must provide a direct link to the Website or such other address as Everybook may designate from time to time.

Everybook has a logo.

Feedback

You may from time to time provide suggestions, comments or other feedback to Everybook with respect to any product, material, software or information provided by Everybook (hereinafter “Feedback”). You agree that all Feedback is and shall be entirely voluntary and shall not, absent separate agreement, create any confidentiality obligation for Everybook. However, Everybook shall not disclose the source of any feedback without the providing party’s consent. Everybook shall be free to disclose and use such Feedback as it sees fit, entirely without obligation of any kind to You. The foregoing shall not, however, affect either party’s obligations hereunder with respect to the information protected pursuant to any Everybook’s privacy policies posted on the Website.

Unlawful or Prohibited Use

You may not use the Website and/or Services for any purpose that is unlawful, prohibited by these Terms of Service, or in any way interferes or attempts to interfere with the proper working of this Website and/or Services. You may not use this Website and/or Services in any manner that could damage, disable, overburden, or impair this Website and/or Services, or that interferes with any third party’s use and enjoyment of this Website and/or Services. You agree that You will not use any third-party software that intercepts, “mines,” or otherwise collects information from or through the Website and/or Services. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available by Everybook to all users of this Website and/or Services. ANY ATTEMPT BY YOU TO DAMAGE EVERYBOOK SERVERS OR UNDERMINE THE LEGITIMATE OPERATION OF EVERYBOOK IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE OR ASSISTANCE FOR SUCH AN ATTACK BE PROVIDED, EVERYBOOK RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH USER TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnification

You hereby agree to indemnify, defend and hold harmless Everybook, its affiliates, officers, directors, agents, and employees, from any expense, loss, claim, damage, fine, penalty or liability, including reasonable fees for attorneys and other professionals, payable under any judgment, verdict, court order or settlement, to the extent resulting from any claim, demand, action, suit, arbitration, or other proceeding initiated by any third party, including the assessment, claim or demand by a governmental agency or entity, arising out of Your breach of these Terms of Service.

Linking to the Website

Linking to the Website is permitted provided that You comply with the following rules. You may link to the home page of the Website or to any other page of the Website. However, You are not allowed to use in-line linking (or hot-linking) or framing. You must not imply that Everybook endorses or sponsors the linker or its site, products or services. You must not use Everybook’s intellectual property including but not limited to trademarks, trade names, copyrights without advance written permission from Everybook or as otherwise provided herein. Furthermore, You agree to remove the link at any time upon Everybook’s request.

Applicable Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom without regard to its principles of conflict of laws. You agree to the exclusive jurisdiction of the courts of the United Kingdom for any claim or cause of action arising out of, or relating to or in connection with these Terms of Service or this Website, provided that such exclusivity does not apply to legal actions initiated or brought by Everybook.

Everybook does not bear any responsibility nor assumes any risks if by any reason a Service or the Website breach national law of any state. Those who access this Website or use the Services do so on their own initiative and are responsible for compliance with their national laws.

We are subject to specific jurisdiction, please comply with your local laws.

Export control

Everybook’s products may be subject to U.S. export and re-export control laws and regulations and/or similar laws applicable in other jurisdictions, including the Export Administration Regulations (“EAR”) maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations (“ITAR”) maintained by the Department of State. You warrant that You are (1) not located in Crimea region, Cuba, Iran, North Korea, Sudan, or Syria; and (2) are not a denied party as specified in the regulations listed above.

You agree to comply with all applicable export and re-export control laws and regulations, including the EAR, trade and economic sanctions maintained by OFAC, and the ITAR. Specifically, You agree that you shall not – directly or indirectly – sell, export, re-export, transfer, divert, or otherwise dispose of any products, software, or technology (including products derived from or based on such technology) received from Everybook under these Terms of Service to any destination, entity, or person prohibited by any applicable laws or regulations of the United States or any other jurisdiction without obtaining prior authorization from the competent government authorities as required by those laws and regulations. This export control clause shall survive termination or cancellation of these Terms of Service.

Basically,
Everybook’s products may be subject to export and re-export control laws of different jurisdictions. You agree to comply with all applicable export and re-export control laws and regulations.

COPYRIGHT

Everybook is the platform in providing legal access to a rich collection of Books on major mobile platforms. Everybook supports holders of copyright not only by promoting the content and paying proceeds from it, but also by preventing infringement of copyrights. It is Everybook’s policy to fully comply with the Digital Millennium Copyright Act and all other current copyright protecting laws.

Basically,
We respect copyright owners. Please contact us in case of any infringement.

  1. Takedown notice. If you believe that your copyright has been infringed, please let us know by sending a notification to copyright@everybook.eu, including the following:
    1. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are concerned, a full list of such illegally used copyrighted works (where possible, please specify the ISBN, the year of publishing, rights for translation of the content, where different from the source language);
    2. Identification of the file that is claimed to be infringing the copyright or to be the subject of infringing activity that is to be removed or access to which is to be disabled: the Everybook URL;
    3. Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and an electronic mail address at which the complaining party may be contacted;
    4. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
    5. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

  2. Upon receipt of such notification, Everybook shall within 5 (five) business days either remove or disable access to the content in question, or, where the information provided in the notification is not sufficient or where there are doubts as to the powers of the complaining party, contact the sender of the notification for more information.
  3. Counter Notice. In case you consider that the content placed by you on the Everybook has been removed by mistake you may file a counter-notice which should contain the following:
    1. Your name or name of the company, address, phone number, physical and electronic signature;
    2. Name of the work, name of the author and other identification details of the work and its location on the Everybook before it is removed or blocked (URL in Everybook);
    3. Statement under the penalty of perjury, that you have a bona fide belief that the work has been removed or blocked by mistake or due to false identification.
  4. In case of counter-notice filled in accordance with the requirements stated hereinabove, the Everybook shall promptly resend your counter-notice to the person, who demanded to remove the work.
  5. In case no suit has been filed against you by the person who sent the notice on copyright infringement within 14 (fourteen) days from the date of receipt of a copy of such counter-notice, then Everybook shall recover the work, otherwise the work shall be subject to recovery prior to resolution of dispute between the Parties.

    I have a bona fide belief that the work has been removed or blocked by mistake or due to its improper identification as the work to be removed or blocked and that the work does not violate any of the third parties’ rights [statement specifying for what reason the work has been removed by mistake and for what reason the notice on copyright infringement has been sent by mistake].

    I hereby declare that the information contained in the present counter-notice to the best of my knowledge and belief is true;

    I hereby acknowledge that this counter-claim as well as all the details contained herein may be delivered to the person who made the notice on copyright infringement and/or its representative.
